Elite Body-X offers services designed to help individuals achieve their fitness goals and lead healthier, happier lives. These services can be accessed through the Site, App, Content, APIs, and data feeds (collectively referred to as the “Services”).

TERMS OF SERVICE AGREEMENT (“AGREEMENT”)
This Agreement outlines the legally binding terms governing your use of the Services. By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these terms. You may not access or use the Services if you are under 18 years of age. By accessing or using the Services, you affirm that you possess the legal authority and capacity to enter into this Agreement and comply with all the terms and conditions herein. If you disagree with any part of this Agreement, please refrain from accessing or using the Services.

CERTAIN DISCLAIMERS
All information provided through the Services (including the Site, App, and Content) is intended solely for informational purposes and should not be considered medical advice.

The information available via the Services is not a substitute for professional medical advice, diagnosis, or treatment from a qualified and licensed healthcare provider. You should consult with a healthcare professional before starting any fitness routine or making significant changes to your health regimen. Additionally, Elite Body-X disclaims any liability for injuries, health complications, or losses arising from reliance on information provided through the Services.

USER ACCOUNTS
Account Creation: To access specific features of the Services, you may be required to create an account. You represent and warrant that: (a) all registration information you provide is accurate and truthful; (b) your use of the Services complies with all applicable laws, regulations, and the terms of this Agreement.

You are responsible for maintaining the confidentiality of your account credentials and are fully accountable for all activities conducted under your Elite Body-X account. You agree to promptly notify Elite Body-X of any unauthorized use or suspected breach of your account security. Elite Body-X shall not be liable for any loss or damage resulting from your failure to comply with these security obligations. Your account information will be managed in accordance with our Privacy Policy.

SERVICE
Ownership: You acknowledge that all intellectual property rights, including copyrights, patents, trademarks, and trade secrets, associated with the Services (including the Site, App, and Content, but excluding any User Content as defined herein) are the sole property of Elite Body-X or its licensors. This Agreement does not grant you any rights, titles, or interests in the intellectual property of Elite Body-X beyond the limited license provided herein.

License: Subject to the terms of this Agreement, Elite Body-X grants you a limited, non-transferable, non-exclusive license (without the right to sublicense) to (a) access and use the Services strictly for personal, non-commercial purposes, and (b) install and use the App on your personal mobile device solely for personal, non-commercial use.

Certain Restrictions: The rights granted to you are subject to the following restrictions: (a) You may not license, sell, rent, lease, transfer, assign, distribute, or commercially exploit the Services. (b) You may not modify, create derivative works from, disassemble, decompile, or reverse engineer any part of the Services. (c) You may not use the Services to develop a similar or competing service. (d) Except as expressly authorized, you may not copy, reproduce, distribute, republish, download, display, post, or transmit any part of the Services. (e) You may not alter or modify the code used to deliver the Services. (f) You may not integrate the Site, App, Content, or Services with any other website or service for any purpose.

Future updates, releases, or additional functionalities of the Services shall remain subject to the terms of this Agreement. All proprietary notices, including copyrights, must be retained on any copies of the Content.

Use of Services at Your Own Risk: Your access and use of the Site, App, Content, and Services are at your own risk. Elite Body-X shall not be responsible for any damage to your devices, loss of data, or personal injury resulting from your use of the Services or reliance on information provided therein.

Customer Support: Elite Body-X is not obligated to provide customer support but may do so at its sole discretion from time to time.

Modification of Services: Elite Body-X reserves the right to modify, suspend, or discontinue any aspect of the Services (including the Site, App, and APIs) at any time without prior notice. This includes the right to migrate to different platforms, integrate with third-party services, or restrict access. Elite Body-X shall not be held liable for any changes, interruptions, or discontinuation of the Services.

NAME, TRADEMARKS, AND LIKENESSES LICENSE GRANTS
By submitting your content, you grant Elite Body-X a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully-paid, transferable license, with the right to sublicense, to use any trademarks, trade names, and the names and likenesses of individuals featured in your content. This includes the right to display the name you provide in connection with your content.

MORAL RIGHTS
You waive any moral rights you may have in your content against Elite Body-X and its licensees. “Moral Rights” refer to rights such as claiming authorship, objecting to modifications, or controlling the dissemination of your content.

RESTRICTIONS
You agree not to submit content that is illegal, offensive, defamatory, obscene, or otherwise violates our community standards or applicable laws. Elite Body-X reserves the right to remove content that breaches these terms.

NO OBLIGATION
While we have the right to use your content, we are under no obligation to do so. We may remove, modify, or refuse to display any content at our sole discretion without notice.

ADVERTISING
Elite Body-X may display advertisements alongside your content without compensating you. The format and placement of such advertising are subject to change without notice.

REPRESENTATIONS AND WARRANTIES
By submitting content, you affirm that:

  • You own the rights or have permission to use the content.
  • Your content does not infringe on third-party rights.
  • Your content complies with applicable laws.
  • You are responsible for creating backups of your content.

ACCEPTABLE USE POLICY
You agree not to use the Services to:

  • Violate intellectual property rights.
  • Share unlawful, abusive, or harmful content.
  • Spread viruses or malicious software.
  • Send unsolicited messages (spam).
  • Attempt unauthorized access to systems.
  • Interfere with other users’ experiences.

Elite Body-X reserves the right to investigate violations, remove content, suspend accounts, and report illegal activities to authorities when necessary.

APP STORES, THIRD-PARTY SITES & ADS, AND OTHER USERS
App Stores: The availability of the App depends on third-party platforms such as Google Play Store, Apple App Store, or other app marketplaces (“App Stores”). This Agreement is between you and Elite Body-X, not the App Stores. Elite Body-X is solely responsible for the App’s content, updates, maintenance, and any legal claims related to its use. You agree to follow the terms and policies of the relevant App Stores and acknowledge that they may enforce this Agreement as third-party beneficiaries.

Third-Party Sites & Ads: The Services may include links to external websites or display advertisements (“Third-Party Sites & Ads”). Elite Body-X is not responsible for the content, accuracy, or availability of these third-party resources. Your interactions with third-party services, including purchases or transactions, are solely between you and the respective third party.

Other Users: Users are responsible for their own content shared through the Services. Elite Body-X does not control, endorse, or guarantee the accuracy of user-generated content. Any interactions you have with other users are at your own risk, and Elite Body-X holds no liability for disputes arising from such interactions.

RELEASE
You agree to release Elite Body-X, its employees, affiliates, and agents from any claims or damages related to disputes with third parties, App Stores, or other users. This release applies to claims arising from interactions facilitated through the Services.

THE SERVICES (INCLUDING SITE, APPS, AND CONTENT) AND USER CONTENT ARE PROVIDED “AS IS”, WITHOUT WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, Elite Body-X EXPLICITLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT OR NON-INFRINGEMENT. Elite Body-X MAKES NO WARRANTY THAT THE SITE, APPS, CONTENT, USER CONTENT OR SERVICES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. Elite Body-X MAKES NO WARRANTY REGARDING THE QUALITY OF ANY PRODUCTS, SERVICES, OR INFORMATION OBTAINED THROUGH THE SITE, APPS, CONTENT, USER CONTENT OR SERVICES, OR THE ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SITE, APPS, CONTENT, USER CONTENT OR SERVICES, INCLUDING, WITHOUT LIMITATION, ANY INFORMATION OR ADVICE WITH RESPECT TO ANY FITNESS PRODUCT. Elite Body-X DOES NOT REGULARLY MONITOR OR UPDATE THE ACCURACY OR RELIABILITY OF THE CONTENT OR USER CONTENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM Elite Body-X OR THROUGH THE SITE, APPS, CONTENT, USER CONTENT OR SERVICES, WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN OR CREATE ANY LIABILITY ON THE PART OF Elite Body-X. THE SITE, APPS, CONTENT, USER CONTENT AND SERVICES ARE FOR CONSUMER EDUCATIONAL USE ONLY. IN NO EVENT SHALL WE (AND OUR SUPPLIERS) BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFIT OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES ARISING FROM THIS AGREEMENT OR YOUR USE OF, OR INABILITY TO USE, THE SERVICES (INCLUDING THE SITE, APPS, OR SITE CONTENT), OR THIRD PARTY SITES & ADS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ACCESS TO, AND USE OF, THE SERVICES (INCLUDING THE SITE, APPS, CONTENT AND USER CONTENT), AND THIRD PARTY SITES & ADS ARE AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTING SYSTEM OR LOSS OF DATA RESULTING THEREFROM. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, YOU AGREE THAT THE AGGREGATE LIABILITY OF Elite Body-X TO YOU FOR ANY AND ALL CLAIMS ARISING FROM THE USE OF THE SITE, CONTENT OR SERVICES IS LIMITED TO THE AMOUNTS YOU HAVE PAID TO Elite Body-X FOR ACCESS TO AND USE OF THE SITE, CONTENT, OR SERVICES. INDEMNITY

You agree to indemnify and hold Elite Body-X, its successors, subsidiaries, affiliates, any related companies, its suppliers, licensors, and partners, and the officers, directors, employees, agents, and representatives of each of them harmless, including costs and attorneys’ fees, from any claim or demand made by any third party due to or arising out of (a) your use of the Services, (b) your User Content, or (c) your violation of this Agreement. Elite Body-X reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of Elite Body-X. Elite Body-X will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

TERM AND TERMINATION

If you violate any of these Terms of Service, your permission to use the Site, App, Content, and Services will automatically terminate. Elite Body-X reserves the right to revoke your access to and use of the Site, App, Content, and Services at any time, with or without cause.

COPYRIGHT COMPLIANCE

Elite Body-X respects the intellectual property rights of others and expects users of the Site to do the same. At Elite Body-X’s discretion and in appropriate circumstances, Elite Body-X may terminate the accounts of users or prevent access to the Site by users who infringe the intellectual property rights of others. Elite Body-X may access, preserve, and disclose to third parties any of your information or data (including personally identifiable information and private communications) related to a written complaint of copyright infringement if Elite Body-X believes, in its sole discretion, that such access, preservation, or disclosure is necessary or useful to respond to or otherwise address such complaint. Filing a notice of infringement with Elite Body-X requires compliance with the requirements specified under the applicable laws of India. More information can be found at the India Copyright Office.

GENERAL

Changes to Terms of Service: You acknowledge and agree that Elite Body-X may revise these Terms of Service from time to time. By continuing to access or use the Site, Content, or Services after Elite Body-X makes any such revision, you agree to be bound by the revised Terms of Service.

Severability: In the event that any provision of these Terms of Service is held to be invalid or unenforceable, the remaining provisions of these Terms of Service will remain in full force and effect.

Waiver: The failure of Elite Body-X to enforce any right or provision of these Terms of Service will not be deemed a waiver of such right or provision.

Governing Law: This Agreement shall be governed by the laws of India without giving effect to any conflict of laws principles that may provide the application of the law of another jurisdiction. Notwithstanding the foregoing, we may seek injunctive or other equitable relief to protect our intellectual property rights in any court of competent jurisdiction in India.

You are not permitted to use these Marks without our prior written consent or the consent of such third party which may own the Marks.

Entire Agreement: This Agreement (which includes the Privacy Policy and any other rules posted on the Site or App) constitutes the entire and exclusive agreement between Elite Body-X and you regarding the Site, App, Content, User Content, and Services, and these Terms of Service supersede and replace any prior agreements between Elite Body-X and you regarding the Site, Content, and Services. If any provision of this Agreement is, for any reason, held to be invalid or unenforceable, the other provisions of this Agreement will be unimpaired, and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.

This Agreement, and your rights and obligations herein, may not be assigned, subcontracted, delegated, or otherwise transferred by you without Elite Body-X’s prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void. The terms of this Agreement shall be binding upon assignees.
